Well second offer is better than the first... By far.
The two advantages of the second deal are; now is a great time to pick up Braylon - he's had two bad games and people think the world is ending... and Jonathan Stewart. You're quite old at RB unless you've got someone you haven't told us about. The down side is you're getting older at QB (and the next couple of QB classes from the College game don't fill me with confidence), you're losing two good WRs and replacing them with one that isn't performing at the moment and this will probably be the last year that Parker is a featured back.
Honestly, I think you're better off as you are. Ben will be in the league for a long time. Your WRs are great and Jennings is still improving (and has a young QB to go with him) and yes your RBs are most of the way up the hill (Lewis may well already be decending the other side) but that's nothing you can't remedy in your next draft.
